Terms of Service

1. Acceptance of Terms

By accessing or using the BRANDI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use our Service. We reserve the right to update these Terms at any time; continued use after changes constitutes acceptance.

2. Service Description

BRANDI is an online marketplace that connects brands with professional representatives for events, fairs, expos, and activations. We facilitate the discovery, booking, and payment process but do not directly employ representatives or organize events.

3. User Accounts

To use certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. You must provide accurate, current, and complete information during registration and keep your profile updated. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Brand Obligations

As a brand using BRANDI, you agree to:

  • Provide accurate and complete event details, including dates, location, compensation, and requirements.
  • Confirm representative attendance within 48 hours of event completion to release payment.
  • Treat representatives professionally and provide a safe working environment at your events.
  • Comply with all applicable employment and labor laws in the jurisdiction where your event takes place.
  • Not attempt to circumvent the platform to avoid service fees after initial contact is made through BRANDI.

5. Representative Obligations

As a representative using BRANDI, you agree to:

  • Maintain an accurate profile reflecting your skills, experience, and availability.
  • Complete any required training materials provided by the brand before the event.
  • Honor all confirmed bookings and arrive on time for events.
  • Act professionally and represent the brand in accordance with their guidelines during events.
  • Notify both the brand and BRANDI as soon as possible if you cannot fulfill a booking.

6. Payments and Fees

BRANDI charges a 15% commission on the total booking value. This fee is deducted from the payment made by the brand before the representative receives their compensation.

  • Payments are pre-authorized at the time of booking confirmation and processed via Stripe.
  • Funds are released to the representative after the brand confirms attendance, or automatically after 48 hours if the brand does not dispute.
  • Representatives are responsible for their own tax obligations. BRANDI does not withhold taxes on behalf of representatives.
  • Refunds are handled on a case-by-case basis according to the Cancellation Policy below.

7. Cancellation Policy

  • Cancellations made more than 7 days before the event start date are eligible for a full refund.
  • Cancellations made between 3 and 7 days before the event are subject to a 50% cancellation fee.
  • Cancellations made less than 3 days before the event are non-refundable, unless due to documented force majeure.
  • Representatives who cancel confirmed bookings without valid reason may face account restrictions or suspension.

8. Reviews

After each completed event, brands may leave a review for the representative. Reviews must be honest, factual, and not contain offensive, discriminatory, or defamatory content. BRANDI reserves the right to remove reviews that violate these guidelines. Reviews cannot be edited after submission but may be supplemented with a follow-up response.

9. Intellectual Property

All content on the BRANDI platform, including logos, designs, text, and software, is the intellectual property of BRANDI or its licensors and is protected by applicable copyright and trademark laws. Users retain ownership of content they upload (profiles, training videos, event descriptions) but grant BRANDI a non-exclusive, worldwide license to display and distribute such content as necessary to operate the platform.

10. Limitation of Liability

BRANDI is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied. BRANDI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.

Our total liability for any claim relating to the Service shall not exceed the fees paid by you to BRANDI in the twelve months preceding the claim.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable laws of the Netherlands. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Amsterdam, the Netherlands. If any provision is found to be unenforceable, the remaining provisions shall continue in full force and effect.
